This forum focused on the review and outlook of China’s overseas M&A, the theoretical basis and methodology of valuation,as well as the analysis of practical cases . Valuation has always played an important role in enterprise mergers and acquisitions, and is best known for providing appropriate consideration for potential investors. In addition, high-quality valuation analysis can also help potential investors to obtain important information about the M&A projects, such as the drivers of enterprise value, the potential risks of the target business, the relevance between the transaction structure and terms and the acquisition consideration, etc., helping investors determine what indicators to use for post-investment management after the acquisition. Therefore, valuation analysis plays an important role in the entire M&A process, i.e., pre-investment, transaction in-progress, and post-investment management. When dealing with M&A-related valuation work, we often encounter doubts about the valuation methods, the scope of analysis, and the precautions to be taken. Dr. Li Xiang sorted out the relevant questions and shared his views on the most frequently asked questions. Therefore, this forum not only allows students to understand overseas M&A trends and valuation methodologies, but also helps students understand the characteristics of this industry and career development.
